Terms & Conditions

These terms govern all wholesale purchases from Device Exchange. Placing an order confirms acceptance. Device Exchange sells to approved trade accounts only — no consumer sales.

1. Trade accounts

Accounts are subject to approval, verification of trading status and sanctions screening. We may refuse or revoke access without cause. Login credentials must be kept confidential.

2. Orders & pricing

  • Prices are quoted ex-VAT in the currency shown and reflect live wholesale rates.
  • Minimum order quantities (MOQs) apply per SKU.
  • An order is binding once we issue an invoice or proforma.
  • We may allocate stock on a first-paid basis.

3. Payment

Bank transfer or escrow. Cleared funds are required before dispatch unless separately agreed credit terms are in place. Late payment attracts statutory interest.

4. Delivery

  • Incoterms: EXW, FCA or DAP as agreed on the invoice.
  • Dispatch same working day for orders paid before 15:00 GMT.
  • Transit times: 24–48h EU, 3–5 days global (indicative).
  • Risk passes to the buyer at the agreed Incoterms handover point.

5. Inspection & DOA

Buyers must inspect and IMEI-check goods within 48 hours of receipt. DOA claims are accepted for 30 days from delivery, supported by IMEI and photo/video evidence. Approved DOA units are replaced or credited.

6. Warranty & grading

Grade descriptions are indicative industry-standard grades. Beyond the 30-day DOA window, no further warranty is offered on used or refurbished stock. New sealed stock carries the manufacturer's warranty where applicable.

7. Title

Title passes only on receipt of cleared funds in full. Until then the buyer holds goods as bailee and must keep them identifiable and insured.

8. Export & compliance

Buyers are responsible for import duties, taxes and compliance with sanctions and export controls in their destination country.

9. Liability

Our aggregate liability for any order is limited to the invoice value of that order. We are not liable for indirect or consequential losses, including loss of profit or resale margin.

10. Governing law

These terms are governed by the laws of England & Wales and subject to the exclusive jurisdiction of its courts.
